Governance

In the nonprofit sector, governance refers to the actions of the board of directors of an organization with respect to establishing and monitoring the long-term direction of that organization. Several of CenterPoint’s services related to governance functions are covered elsewhere on this website: communication, facilitation, finance, fundraising, starting a nonprofit, mission, vision, strategic planning, and evaluation. Here we focus more specifically on governance functions related to the operation of the board itself.

Analysis
CenterPoint consultants can help boards of directors assess and improve their performance. Assessment tools include standards of practice, interviews, and facilitated discussions. Our approach to assessment is generative and positive.

Board Development
Topics included in board development are board diversity, functions of nominating committees, nomination practices, implementation of bylaws and discussion of whether bylaws need to be updated, term limits, conflict of interest policies, board-staff roles and relationships, board responsibilities, and effective board meetings.

Organization and Board Structure
Organizational effectiveness can be improved when the organizational and board structures are kept current and promote volunteer involvement in governance and policy-making. CenterPoint helps clients think about their structures and make needed changes.
